On February 28, 2025, AOG Wealth Management (the “Prior Adviser”) completed a transaction with F.L.Putnam Investment Management Company, Inc
(“FLP”), whereby the FLP acquired substantially all of the Prior Adviser’s assets, including its investment management business. As a result of the
transaction, as well as Board and investor approval, FLP assumed the role as investment adviser to the Fund. All material terms of the Previous Advisory
